Our commitment to your privacy

Zomedica Inc. and its affiliates (“Zomedica”, “we”, “our” or “us”) are committed to protecting your privacy. This Privacy Policy applies to all users of our Software Applications, such as VETGuardian Web App, VETGuardian Mobile App, myZomedica Web App, and Zomedica Mobile App (“Software Applications”), our websites, including those located at *.zomedica.com, *.vetguardian.com and all others that this Privacy Policy is affixed to (“Websites”), and any of our devices and/or subscription services (collectively “Services”) and explains how we collect and use the personal information regarding yourself or others that you may supply to us when using our Software Applications, our Websites or when accessing our Services.

Types of personal information we gather

We collect personal information that you choose to share with us, as well as information provided directly by your browser or device when you visit our Websites, use or access our Services. We may also collect the following categories of personal information from you through your interactions with us directly or through your practice’s administrator if the administrator registers you for an account.

CONTACT INFORMATION AND IDENTIFIERS

 When you register as a user with us, we will collect your first and last name and business contact information, including but not limited to email and business mailing address and telephone number. We will also ask you to create login credentials, which is a username and password, as well as an authentication method to retrieve lost passwords.

CLIENT INFORMATION

 Information may be collected in connection with the use of Services for tracking pet information while using some of our products. This information may include but not be limited to client last name and pet name, breed, weight, sex, species, and date of birth. We may also collect clinical diagnostic information as it pertains to a pet, including but not limited to, vital signs, test results, examination findings, etc. You are responsible for complying with applicable privacy laws when providing this information to us, including, but not limited to, obtaining all necessary consents to collect such information. 

TECHNICAL INFORMATION AND FEEDBACK

 When you contact us or submit feedback to us via our Services, including when you request or require attention regarding our support services, we will collect your first name, last name, email address, and place of work (associated with your user account at the time of sign up), and information provided by you to us or generated by us in the context of providing support services to you. You also have the option of providing a telephone number, as well as any additional personal information you choose to share in the content of your feedback message.

COMMERCIAL INFORMATION / TRANSACTION INFORMATION

 If you purchase our Services, we may collect information about your order, including products and services ordered, details about the order, payment information, contract information, contact information of the duly authorized representative, and other information about the transaction.

INTERNET / NETWORK INFORMATION

We automatically receive and record information on our server logs from your browser, including browser type and version, operating system, and device type. We collect this data for the following general purposes:

  • Customizing your user experience
  • Fulfilling your requests for products and services
  • Promoting and improving services Contacting you

We also collect your IP address(es) for the purpose of analyzing user trends and tracking user movement for aggregate usage analysis. Except where you have provided consent for us to use your identifiable personal information, we only use anonymous, aggregate data that cannot be used to identify you individually for our analytics research.

We may set and access cookies on your computer to facilitate the user experience. “Cookies” are small files placed on your computer by your browser and are often used to make websites and web applications work, as well as provide information to the Website operator.

How we use the personal information we gather

How we use the personal information we collect will depend on how you interact with our Services and the type of personal information you have shared with us.

PERFORM SERVICES

We use the personal information we collect to perform services including tracking and monitoring pet vital signs and to respond to a request for a pathology consultation.

RESPOND TO YOUR REQUESTS
We also use the personal information we collect to respond to your requests submitted through our Services.

ENHANCE WEBSITE AND USER EXPERIENCE

We use the information to analyze and administer the Website, administer Software Applications, and track user movement for analytics purposes. Usage information enables us to assess and improve Websites and Software Applications. Except where you have provided consent for us to use your identifiable personal information for our analytics research, we only use anonymous, aggregate data that cannot be used to identify you individually.

MANAGE ACCOUNT

We will use your personal information to administer your account. If necessary, we will also use your personal information to verify your identity and provide you with access to your account should you become locked out or forget your login and password.

CONFIRMING AND PROTECTING YOUR IDENTITY

We will use your information to verify and validate your identity and the identification information you present to us.

SECURITY AND FRAUD PREVENTION

When necessary, we will use your personal information to preserve the security of our website, systems, and personal information in our control. If necessary, we will also use your personal information to investigate possible fraud, to identify violations of this Privacy Policy and our terms and conditions, and to prevent any attempted harm to our users.

REGULATORY COMPLIANCE

We collect and process personal information ensure our products and services are compliant with all applicable laws and regulations, including tax laws and Stark and anti-kickback laws.

ANALYTICS, RESEARCH AND DEVELOPMENT

We collect and process personal information to undertake internal research for new product development and generating inferences about customer preferences.

QUALITY AND SAFETY IMPROVEMENT

We collect and process personal information to improve, verify, audit, or maintain the quality or safety of our games, products, services and devices.

ANONYMIZED / DE-IDENTIFIED DATA

We may also anonymize or otherwise de-identify the data we collect, which means that we take steps to remove all personally identifiable markers in that data and use it any of the aforementioned reasons set forth above in this Privacy Policy.

Sharing of personal information and disclosure

We share your and/or your client’s personal information when you have granted us permission to do so, when it is necessary to fulfill our obligations to you, or when we have a legitimate business need.

SUPPORT VENDORS

When necessary, we share your and/or your client’s data with third-party vendors working on our behalf to provide specific business support services, including pathology consultation, data monitoring, analytics and support, application support vendor, Website hosting, and Website analytics.

LEGAL REQUIREMENTS

As required by law, regulation, or legal process, we will share your personal information with government authorities, enforcement officials, or third parties as necessary to respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims.

SECURITY AND FRAUD PREVENTION EFFORTS

When necessary, we will share your personal information to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations or suspected violations of this Privacy Policy, our agreements or arrangements with you or other policies in effect from time to time to which you are subject, or as otherwise required by law.

SALE OF BUSINESS

We reserve the right to transfer your personal information in the event we sell or transfer all or a portion of our business or its assets to which your personal information relates. In such event, you hereby consent to such transfer, and your personal information will continue to be governed by this Privacy Policy.

Your choices and rights

Nevada and Utah Residents Notice

We do not disclose a user’s personal data to any third party for such third-party’s direct marketing purposes. Nevada S.B. 220 allows Nevada residents to opt-out of the sale of their personal information now in the event we change our Privacy Policy in the future. You can opt out of the sale of your personal information by contacted us via email at dataprivacy@zomedica.com or via telephone at 1-800-245-4417. This may prevent or restrict your use of the Website in the future. 

Calinfornia Privacy Rights Act Notice

This California Privacy Rights Act Notice (this “CCPA Notice”) is to comply with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and is included in our Privacy Policy and applies to our processing of “personal information” of California “consumers” in relation to the Website (as the terms “personal information” and “consumer” are defined under the CCPA) (collectively, “Consumers, “you,” or “your”). Any capitalized terms or other terms not defined herein shall have the meaning given to them elsewhere in our Privacy Policy or, if not defined herein or elsewhere in our Privacy Policy, the CCPA.
To the extent of any conflict between this CCPA Notice and the rest of our Privacy Policy, this CCPA Notice shall control only with respect to Consumers and their personal information.

This CCPA Notice provides further detail regarding (a) how we have processed Consumers’ personal information within the past twelve (12) months and (b) your rights under the CCPA.

Identifiers:   When you use any of our Services, we will collect your first and last name and business contact information, including but not limited to email and practice mailing address and telephone number. We may also ask you to create login credentials, which is a username and password, as well as an authentication method to retrieve lost passwords.  Information may be collected in connection with the use of Services for tracking pet information while using some of our products. This information may include client first and last name and pet name, breed, weight, sex, species and date of birth. You are responsible for complying with applicable privacy laws when providing this information to us. When you contact us or submit feedback to us about our Services, we will collect your first name, last name, email address, and place of work (associated with your user account at the time of sign up). You also have the option of providing a telephone number, as well as any additional personal information you choose to share in the content of your feedback message.

Internet or Network Activity:  We automatically receive and record information on our server logs from your browser, including browser type and version, operating system, and device type.

Employment Information:  Since we area a business to business (B2B) product, we may collect information about you regarding where you work, including the name of your employer, address, work email, and work phone number.

Transaction and Commercial Information:  In the process of selling you our products and services, we may collect information about your order and transaction history, which qualifies as commercial information.

Note that we may not collect each category of personal information above (or each example contained therein) in relation to every Consumer, depending on how Consumers interact with us through our Websites.

SOURCES

The above categories of personal information are collected from you directly or, in the context of Internet or Network Activity or Geolocation, from server logs or 1st/3rd-party cookies, pixels, or similar technologies.

BUSINESS PURPOSES

We use the above categories of personal information for the following business purposes:

  • Responding to inquiries and other messages
  • Providing marketing materials and emails
  • Audience measurement and analytics (e.g., understanding of how the Website is used, the locations where Consumers engage with the Website, engagement with social media and other marketing channels such as email, measuring clickthroughs from URLs)
  • Cybersecurity and fraud detection
  • Compliance with applicable law
  • Responding to lawful requests by public authorities
  • Establishing, exercising, or defending legal claims
  • Optimizing the Websites and related services
  • A merger, dissolution, reorganization, or similar corporate event, or the sale of all or substantially all of our assets (including, in each case, any due diligence relating thereto)
  • Internal purposes aligned with Consumer expectations
  • As otherwise either disclosed to you (e.g., via “just-in-time” notices) or pursuant to Consumer consent.

Note that each business purpose listed herein may not use every category of personal information described above. For example, “Protected Classifications” under California or Federal law are a designation primarily relevant to the employment context (and associated legal compliance). However, all information may be transferred in the context of a merger, sale, or similar event, as such are further described above.

DISCLOSURES

For the above business purposes, we disclose each of the categories of personal information above to third parties and service providers such as cloud storage and web hosting providers, distributors, technical assistance and security vendors, database management/back-up services, analytics services, email clients, digital marketing services (e.g., marketing automation), customer relationship management/CRM platforms, and customer service vendors. For clarity, we do not use professional or employment information or characteristics of protected classifications for marketing purposes.

YOUR CCPA RIGHTS

Access:  You may request access to the personal information that we have collected and maintained about you (along with information regarding its use and disclosure) over the past twelve (12) months upon appropriate verification. You may only make such requests twice per every twelve (12) months.

Deletion:  You have the right to request that we delete personal information collected and maintained about you, subject to certain exceptions. Once your request is verified and we have determined that we are required to delete that information in accordance with applicable law, we will delete your personal information accordingly. Your request to delete your personal information may be denied if it is necessary for us to retain your information under one or more of the exceptions listed in the CCPA. Please note that a record of your deletion request may be kept pursuant to our legal obligations, as discussed below.

Correct:  You have the right to request that we correct or otherwise rectify personal information collected and maintained about you to the extent the information is incorrect. In some cases, you can correct your own information by logging into your account and correcting you information directly.

“Do Not Sell” / “Do Not Share” Requests:  We do not “sell” or “share” your personal information, as such term is defined under the CCPA, nor do we have actual knowledge of any “sales” or “sharing” of personal information of minors under the age of sixteen (16).

Consumers have a right to not receive discriminatory treatment for the exercise of their rights under the CCPA. Please note that a record of your requests, including how we responded and any correspondence or documentation related thereto, may be kept pursuant to our legal obligations.

VERIFYING YOUR RIGHTS REQUEST

Only you, or a person that you authorize to act on your behalf, may make a request related to your personal information. In the case of access and deletion, your request must be verified before we can fulfill such request.

Verifying your request will require you to provide sufficient information for us to reasonably verify that you are the person about whom we collected personal information or a person authorized to act on your behalf (e.g., name, email address).
We will only use the personal information that you have provided in a verifiable request in order to verify your request. As stated above, we cannot respond to your request or provide you with personal information if we cannot verify your identity or authority.

Please note that we may charge a reasonable fee or refuse to act on a request if such request is excessive, repetitive, or manifestly unfounded.

Colorado Privacy Rights

If you are a Colorado resident, you have the following rights under applicable Colorado law in relation to your personal information, subject to certain exceptions:

Right of Access:  You have the right to confirm whether we collect Personal Information about you and, if so, what Personal Information we collect, use, disclose, and/or sell, as applicable.

Right to Delete:  You have the right to request the deletion of your personal information that is collected by us.

Right to Correct:  You have the right to request that we correct inaccuracies in the personal information that we collect about you.

Right to Opt-Out of Sale:  You have the right to opt-out of the sale of your Personal Information to third parties for the purpose of targeted advertising, profiling in furtherance of decisions that produce legal or similarly significant effects concerning a consumer or for monetary return. You may authorize another person acting on your behalf to opt out of the processing of your personal data for any of the reasons set forth above. However, as noted above, we do not currently sell any personal information.

Right to Data Portability:  No more than two times per calendar year, you have the right to request a copy of your personal information we have collected and maintained about you that allows you to transfer the data to another entity.

Any request you submit to us to know, to delete or to correct is subject to an identification and residency verification process as permitted by Colorado law. We will not fulfill your request unless you have provided sufficient information that enables us to reasonably verify that you are the consumer about whom we collected the personal information.

This section describes your Colorado data subject rights and explains how to exercise those rights and also describes various exclusions and exceptions under Colorado law.

We will respond to your request within 45 days after receipt of a Verifiable Consumer Request for a period covering 12 months and for no more than twice in a twelve-month period. We reserve the right to extend the response time by an additional 45 days when reasonably necessary and provided consumer notification of the extension is made within the first 45 days. We will deliver our written response electronically.

Any disclosures we provide will only cover the 12-month period preceding our receipt of your request. The response we provide will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide your personal information that is readily usable and should allow you to transmit the information from one entity to another entity without hindrance.

You may submit data subjects requests to know two times within any 12-month period. We can deny more frequent requests. There are no limits on the number of deletion or correction requests you can make. However, we may deny or charge a fee for manifestly unfounded or excessive deletion requests in line with our administrative costs for the deletion requests.

We do not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request.

Within 45 days of a valid and verifiable data subject request, if we do not take any action on the request, we will let you know why, which is usually because we cannot verify your identity or we have verified your identity but identified that you are not and have not been a Colorado consumer in the relevant time period and not able to exercise rights under the CPA. We will provide information about how you may appeal this decision / non-action in that communication.

We will not process personal information in violation of state or federal laws that prohibit unlawful discrimination against consumers.

We will not discriminate against you for exercising any of your CPA rights. Unless permitted by the CPA, we will not:

  • Deny you goods or services.
  • Charge you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties.
  • Provide you a different level or quality of goods or services.
  • Suggest that you may receive a different price or rate for goods or services or a different level or quality of goods or services.

CATEGORIES OF PERSONAL DATA SHARED WITH THIRD PARTIES

We may use, disclose, or make available the categories of personal data listed below for targeted advertising purposes or in a manner that we have determined is likely considered a “sale” under the State Consumer Privacy Laws:

If you are a resident of a state that has enacted a State Consumer Privacy Law, then, subject to certain conditions and exclusions, you have the following rights with regard to your personal data:

Right to access:  You have the right to request access to and obtain a copy of any personal data that we may hold about you.

Right to correct:  You have the right to request that we correct inaccuracies in your personal data. Although Utah law does not grant its residents this right, we grant Utah residents the right to request correction of their data.

Right to delete:  You have the right to request that we delete personal data that we have collected from or obtained about you.

Right to opt out of the sale of personal data:  You may request that we stop disclosing or making available your data in a way that is considered a “sale”.

Right to opt out of targeted advertising:  You may request that we stop disclosures of your personal data for targeted advertising.

Right to withdraw consent:  If you have previously granted us consent to process your sensitive data, you have the right to withdraw consent.

Right to opt out of profiling:  You have the right to opt out of profiling in furtherance of decisions that produce legal or similarly significant effects. We do not profile in a manner that would result in legal or similarly significant effects and as such do not offer this right.

Right to appeal:  If you live in Connecticut, or Virginia and are unsatisfied with our decision not to take action on your request to exercise one of your privacy rights, you may appeal our decision. Although Utah law does not grant its residents this right, we accept appeals from Utah residents using the same process.

Right to non-discrimination:  If you choose to exercise any of the privacy rights described above, we will not deny our products or services to you, charge you different prices or provide a different level or quality of products or services to you unless those differences are related to the value of your personal data.

We will only use personal data that you provide in a request to authenticate the request. We will not further disclose the personal data and will retain it only as necessary for the purpose of authentication and to meet our legal obligations. We cannot fulfill your request if we cannot authenticate it and confirm the personal data that is subject of the request relates to you.

AUTHORIZE AGENTS

If you are a Connecticut resident, you may use an authorized agent (a person or entity acting on your behalf) to submit a request to opt-out out of our processing of personal data for the purposes of targeted advertising or sales. If you use an authorized agent to submit a request, we will not act on that request unless we are able to authenticate, with commercially reasonable effort, both your identity and the authorized agent’s authority to act on your behalf.

European Resident Privacy Rights

Because we take the privacy and security of your information very seriously, including the information of our customers located in the EU, EEA, and UK, we are committed to protecting your personal information in accordance with the provisions of the GDPR. We have built privacy and security of personal information into our technical and organizational systems and processes related to any personal information we process. We do not sell, exchange or transfer personal information for any reason, without your consent, or for purposes other than those specifically described in this Privacy Policy. The personal information we collect is limited to that which is necessary to provide the products and Service you request, and your information is only kept as long as necessary to fulfill the purposes for which it was collected.

We also offer you choices that affect how we handle the personal data that we control. You may request the following in relation to your personal data:

Right to Know: Information about how we have collected and used your personal information. We have made this information available to you without having to request it by including it in this Privacy Policy.
Right of Access:  You have a right to receive a copy of the personal data that we have collected about you. Where applicable, we will provide the information in a portable, machine-readable, readily usable format.
Right to Correct: Correction of personal data that is inaccurate or out of date for the purpose for which we collected or use this data.
Right to Delete: Deletion of personal data that we no longer need to provide the Service, deliver Products, or for other lawful purposes.

Limitation of your rights and choices

In some instances, your choices may be limited, such as where fulfilling your request would impair the rights of others, our ability to provide a feature of our Service you have requested, or our ability to comply with our legal obligations and enforce our legal rights. If you are not satisfied with how we address your request, you may contact us as provided in the “Contact Us” section below.  Depending where you reside, such as if you reside in the European Economic Area or United Kingdom, you may have the right to complain to a data protection regulator where you live or work, or where you feel a violation has occurred.

Transfer of personal data across national borders

Zomedica based in the U.S. When you use our Services, you provide your personal information directly to us in the U.S. We may transfer your personal data to our affiliates and service providers, as described above. These service providers and affiliates may be located in the U.S. and other jurisdictions that may not provide the same protections as the data protection laws in your home country. In these instances, where required by applicable law, we will ensure that relevant safeguards are in place to afford adequate protection for your personal data. Do not track

(Including California and Delaware Do Not Track Disclosures)
Some internet browsers incorporate a “Do Not Track” feature that signals to websites you visit that you do not want to have your online activity tracked. Given that there is not a uniform way that browsers communicate the “Do Not Track” signal, we do not currently interpret, respond to or alter our Website’s practices when it receives “Do Not Track” signals.

Security

We have implemented organizational and technical safeguards for protecting the personal information you share with us. These measures include encryption of data in transit and at rest and restricting access data collected via use of our Services to only agents and employees acting on behalf of Zomedica.

Third-party websites

Our Services may contain links to websites hosted by third parties. This Privacy Policy only applies to our Services and does not apply to any third-party websites you may be able to access via our Services. Any data collected through third party websites shall be subject to the privacy practices of the third party, and you should review the privacy policies of these third-party websites before providing personal information.

Children’s privacy

Our websites are general-audience websites and are not directed to anyone under the age of sixteen (“Children”). We do not seek to solicit information from Children. If Children submit information to us and we know that the individuals submitting the information are indeed Children, we will delete the information as soon as we discover it, we will not use the information for any purpose and we will not disclose the information to third parties. We urge parents and guardians to participate in their Children’s online activities and use parental control or Web filtering technology to supervise Children’s access to the Internet.

Policy changes

We may update or revise this policy at any time, at its sole discretion. Any changes to our privacy policy will apply to your personal information from the “Last Updated” date at the top of the privacy policy and will not affect previous uses of your personal information.
